My ongoing PhD. research revolves around the abuse of corporate form and piercing the corporate veil.

Abusing corporate form entails situations where separate personality of the corporation or the limited liability of the shareholders seems unjustified and causes undue damage to creditors. Legislation includes many remedies to mitigate these externalities. Tort liabiilty, illegal dividends, asset recovery, minority protection, disregarding artificial property arrangements and extended environmental liability provide quite comprehensive safety net for creditors. Yet some conduct escapes these remedies while they still seem reprehensible enough to allow intervention. Piercing the corporate veil is one possible way of correcting these situations.

 

Other than the previously mentioned, my research interest include bankruptcy, enforcement, asset recovery, prohibition of abuse of rights, protection of property and pretty much anything relating to credit and debt.

Still, the corporate form can be abused in a way that escapes these remedies while still being reprehensible enough to allow intervention. One way of correcting these situations is to pierce the corporate veil.
